The Services are operated and provided by Amirra LLC, with the product known as Amirra, on behalf of the subscribing organization (referred to here as the “Organization”).

3. Eligibility

The Services are intended solely for authorized employees, students, or members of the Organization and are not intended for consumer or personal use.

Amirra LLC acts as the Data Controller, and may appoint sub-processors as needed to deliver the Services. All data is processed in accordance with applicable laws, including the GDPR, CCPA, and other relevant regulations.
7. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, software, graphics, and trademarks, are the exclusive property of Amirra LLC and its licensors. No rights are granted except as expressly set forth in these Terms.

The Organization or Amirra LLC may suspend or terminate your access to the Services at any time and for any reason, including violation of these Terms, without prior notice.
9. Disclaimers
The Services are provided “as is” and “as available” without any warranties of any kind. To the fullest extent permitted by law, Amirra LLC and the Organization disclaim all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, neither Amirra LLC nor the Organization shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services.
11. Indemnification
You agree to indemnify and hold harmless Amirra LLC, the Organization, and their officers, employees, and agents from any claims, liabilities, damages, losses, or expenses, including attorney’s fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Oregon, United States, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Oregon.
13. Dispute Resolution
Before pursuing any legal remedy, you agree to first attempt to resolve any dispute informally by contacting us at support@amirra.io. If unresolved, the dispute shall be resolved through binding arbitration conducted in Oregon, United States, under the rules of the American Arbitration Association (or applicable local body).
14. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and the Organization regarding the Services.
Severability: If any provision is found invalid, the remainder remains enforceable.
Waiver: No waiver shall be deemed a continuing waiver unless explicitly agreed in writing.
